Robotsdesk.com is an online marketplace connecting robotics vendors with buyers. This Disclaimer sets out the legal relationship between Robotsdesk, vendors, and buyers.

1. Platform Role

Robotsdesk provides a marketplace venue for vendors to list and sell robots to buyers. Robotsdesk is not a seller, manufacturer, installer, or warrantor of products. However, Robotsdesk actively facilitates transactions, verifies vendor credentials, enforces listing standards, and provides dispute resolution. Robotsdesk does not:

• Sell, manufacture, test, inspect, install, or certify robots

• Endorse or guarantee vendor product quality, safety, or compliance

• Provide technical, installation, operational, or safety advice

2. Statutory Consumer Protections

Nothing in this Disclaimer excludes or limits statutory rights under Hong Kong’s Sale of Goods Ordinance (Cap. 26) or Consumer Goods Safety Ordinance (Cap. 456). For consumer purchases, implied warranties of merchantability and fitness for purpose cannot be disclaimed. Buyers retain all rights under applicable Hong Kong law.

3. Product Warranties and “As-Is” Sales

All products are sold “AS IS” and “AS AVAILABLE” by vendors. To the extent permitted by law, Robotsdesk disclaims all express and implied warranties, including merchantability, fitness for purpose, title, non-infringement, safety, and compliance with industry standards. This disclaimer does not apply to personal injury, death, or fraudulent misrepresentation.

4. Vendor Responsibilities

Vendors are solely responsible for:

• Accuracy of product descriptions, specifications, and images

• Product safety and compliance with Hong Kong laws and applicable international safety standards (e.g., IEC 61508, ISO/TS 15066)

• Obtaining required certifications and safety approvals

• Safe packaging and shipment

• Handling warranty claims, returns, repairs, and replacements

• Reporting known product defects or safety hazards to Robotsdesk immediately

5. Buyer Responsibilities

Buyers assume responsibility for:

• Proper selection of products suitable for their intended use

• Professional installation, electrical work, and commissioning by qualified personnel

• Ensuring compatibility with existing systems and environments

• Compliance with Hong Kong’s Occupational Safety and Health Ordinance (Cap. 509)

• Proper operation, maintenance, and use of robots

• Reviewing vendor-specific return and warranty policies before purchase

6. Returns and Refunds

Robotsdesk’s platform-level return policy provides a 14-day return window for eligible purchases in original condition. Returns must be initiated within 14 days of delivery. Vendors bear return shipping costs. Vendors may impose additional restrictions on custom or refurbished products.

7. Limitation of Liability

To the extent permitted by law, Robotsdesk’s aggregate liability to a User for any and all claims arising out of or relating to these Terms or the Platform is limited to the greater of:

• (a) USD 1,000 (or equivalent in local currency), or

• (b) The total fees paid by the User to the Platform in the 3 months preceding the claim.

This limitation applies to all claims, whether arising in contract, tort, negligence, strict liability, or otherwise.

This limitation does not apply to personal injury, death, or claims arising from Robotsdesk’s gross negligence or willful misconduct.

8. Indemnification

Vendor indemnifies, defends, and holds harmless Robotsdesk, its directors, officers, employees, agents, and affiliates from and against any and all third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or relating to:

• Vendor’s listings, product descriptions, or representations.

• Vendor’s products, including product defects, safety hazards, or non-compliance with law.

• Vendor’s breach of these Terms, or applicable law.

• Vendor’s violation of third-party intellectual property, privacy, or other rights.

• Injury, death, or property damage caused by Vendor’s products.

• Vendor’s negligence, gross negligence, or willful misconduct.

• Recalls, safety incidents, or regulatory actions related to Vendor’s products.

Buyers agree to indemnify, defend, and hold harmless Robotsdesk, its affiliates, officers, directors, employees, agents, and suppliers from and against any and all third‑party claims, liabilities, losses, damages, costs, and expenses (including reasonable attorneys’ fees and costs of investigation and settlement) arising out of or related to: (a) the Buyer’s misuse, negligent or improper installation, alteration, maintenance, or operation of products purchased through the Platform; (b) the Buyer’s breach of these Terms or any representations, warranties, or obligations made by the Buyer; or (c) the Buyer’s violation of applicable law.

Robotsdesk will promptly notify the Buyer in writing of any claim for which Robotsdesk seeks indemnification. The Buyer will have the right to assume and control the defense and settlement of such claim, provided that any settlement that admits fault by or imposes obligations or liability on Robotsdesk requires Robotsdesk’s prior written consent (not to be unreasonably withheld). Robotsdesk will reasonably cooperate with the Buyer in the defense at the Buyer’s expense.

This indemnity obligation will survive termination of the transaction or these Terms. If any portion of this indemnity is held unenforceable under applicable Hong Kong law, it shall be deemed modified to the minimum extent necessary to make it enforceable.

This indemnification does not apply to claims arising from Robotsdesk’s gross negligence or willful misconduct.

9. Regulatory Compliance

Vendors warrant that all products they list on the Platform comply with all applicable Hong Kong laws, regulations, and required product safety, import, labeling and certification standards, and with any applicable international safety standards the vendor represents. Robotsdesk will conduct reasonable due diligence of Vendors and third‑party service providers; however, Robotsdesk does not warrant or guarantee Vendor compliance, and Vendors remain solely responsible for compliance. Buyers are responsible for using products in accordance with applicable occupational safety laws, instructions and safety standards; Robotsdesk is not responsible for Buyer misuse or for Buyers’ failure to follow applicable laws or safety instructions.

10. Data Protection

Robotsdesk complies with Hong Kong’s Personal Data (Privacy) Ordinance (Cap. 486). See our separate Privacy Policy for details on data collection, use, and retention.

11. Third-Party Services

Links to vendor websites, payment processors, and other third‑party services are provided for convenience only. Robotsdesk uses industry‑standard payment processors and conducts reasonable due diligence on third parties, but Robotsdesk does not endorse, warrant, or guarantee any third‑party content, products, services, or practices, and is not responsible for third‑party terms, privacy practices, or performance. Users should review third‑party terms and policies before use.

12. Use of AI-Generated Content

The Platform uses artificial intelligence-generated images and visual content throughout the website. The following disclaimers apply to specific areas:

Home Page and Branding

Hero images and banner visuals are AI-generated for design purposes and do not represent actual products or services. Team and representative images may include AI-generated visual elements and do not represent actual individuals employed by or associated with Robotsdesk.

Product Pages

Product imagery includes AI-generated representations. Actual product appearance may vary. For accurate product details, refer to product specifications and customer reviews.

About/Illustrative Pages

Illustrative images throughout the Platform may include AI-generated visual content depicting individuals using or interacting with robots and mechanical equipment for demonstration purposes. These images are not photographs of actual persons and are provided solely to illustrate product applications and use cases. Robotsdesk does not claim any individuals depicted in these images as customers, employees or representatives.

Marketing Materials

Promotional images are created using AI technology for visual communication purposes.

13. Governing Law and Disputes

These Terms are governed by the laws of Hong Kong. Parties will first attempt to resolve disputes through good‑faith negotiation. If unresolved, disputes will be submitted to mediation, and if mediation fails, to binding arbitration administered in Hong Kong, unless the parties mutually agree otherwise. Nothing in this clause prevents either party from seeking interim or injunctive relief in the courts of Hong Kong. Arbitration clauses do not apply to consumer disputes with Robotsdesk (the Platform) unless the consumer expressly agrees in writing to arbitration; this carve‑out does not prevent Vendors and Buyers (both business entities) from agreeing to arbitration between themselves.

14. Amendments

Robotsdesk may amend this Disclaimer with 30 days’ written notice. Continued use constitutes acceptance. Material changes will be highlighted on the website.
